Welcome to Sovi.AI. These Terms of Service ("Terms") govern your access to and use of the Sovi.AI application, website, and any related products and services we provide (collectively, the "Service"). In these Terms, "Sovi.AI," "we," "us," and "our" refer to the operator of the Service, and "you" and "your" refer to the person who accesses or uses the Service.
These Terms are a legally binding agreement between you and Sovi.AI. By accessing, downloading, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
ARBITRATION AND CLASS ACTION WAIVER (U.S. USERS): If you are a U.S. user, these Terms include an agreement to resolve most disputes by binding arbitration instead of in court and include a class action waiver. Please review Section 17 carefully.
You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the consent of a parent or legal guardian who agrees to these Terms on your behalf. You represent and warrant that you meet these requirements.
We may suspend or terminate accounts that we reasonably believe do not meet these eligibility requirements or that provide inaccurate information.
Sovi.AI provides AI-enabled tools intended to help users understand and work through academic questions, including by analyzing photos of academic problems and generating suggested explanations or answers.
Study aid only. The Service is intended as a learning supplement and is not a substitute for teachers, coursework, textbooks, or your own judgment.
Academic integrity. You agree not to use the Service in violation of any academic integrity rules that apply to you (including school, testing, or instructor rules). You are solely responsible for how you use outputs from the Service.
You may use the Service as a guest or through an account, depending on features available at the time. If you create an account, you agree to provide accurate and complete information and to keep it current.
You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account. You agree not to use another user's account and to notify us promptly if you suspect unauthorized access or use.
The Service may allow sign-in through third-party identity providers (for example, Apple). Your use of third-party login is subject to the third party's terms and privacy practices.
Subject to your compliance with these Terms, Sovi.AI grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.
Except as expressly permitted by law, you may not: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or attempt to extract source code; (c) access the Service to build a competitive product; or (d) use the Service in any manner that interferes with or disrupts the Service.
All rights not expressly granted are reserved by Sovi.AI.
The Service, including its software, interfaces, design, text, graphics, logos, and other content (excluding User Content), is owned by Sovi.AI or its licensors and is protected by intellectual property laws. You do not acquire any ownership interest in the Service by using it.
"User Content" means any content you submit to the Service, including photos/images of questions, text prompts, and other materials you provide.
You represent and warrant that you own or have all necessary rights to submit User Content and that submitting it does not violate any law or any third party's rights (including intellectual property, privacy, or publicity rights). You are solely responsible for your User Content.
Do not upload sensitive information (e.g., government IDs, payment card information, or health information) unless it is strictly necessary and you have the right to share it.
To operate and improve the Service, you grant Sovi.AI a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, process, reproduce, analyze, modify (for technical purposes such as formatting), and display your User Content solely to:
You acknowledge that this license is necessary for us to operate the Service (for example, to process images and generate outputs). You can end this license for specific User Content by deleting it where the Service provides deletion functionality, but the license may continue for content that has been processed into backups, logs, or as otherwise required for legal, security, or operational purposes.
We may (but are not obligated to) monitor, review, remove, or restrict User Content if we believe it violates these Terms, could harm users or third parties, or could create legal or operational risk. We may also suspend or terminate accounts for repeated or severe violations.

We may impose reasonable limits on your use (e.g., feature, rate, or usage caps) to protect the Service and users.
The Service uses automated systems (including AI) to generate outputs based on User Content and other inputs.
No professional advice. Outputs are provided for informational and educational purposes only and do not constitute professional (including legal, medical, or financial) advice.
Some features of the Service may be offered for a fee ("Premium"). Pricing and available plans will be shown at purchase.
If you purchase a subscription, your subscription may auto-renew unless canceled before the renewal date. The renewal period will match your subscription term (e.g., monthly or annual) unless otherwise disclosed at purchase.
You authorize the applicable payment processor to charge your payment method for recurring fees, taxes, and any other charges disclosed at checkout.
If you purchase Premium through Apple's in-app purchase system, Apple processes the transaction and controls billing, receipts, and refunds under Apple's terms and policies. You must manage and cancel Apple-billed subscriptions through your Apple account settings (not by deleting the app).
If you purchase Premium through Stripe, Stripe processes the transaction under Stripe's terms and privacy practices. You are responsible for maintaining a valid payment method. If a charge fails, we may suspend or downgrade your Premium access until payment is resolved.
Taxes may be added where required. We may change prices or plan features from time to time as permitted by law; if you have an active subscription, any changes will apply at the next renewal unless otherwise stated.
Cancellation stops future renewals but does not retroactively refund fees already paid, except where required by applicable law or explicitly provided in connection with your purchase channel.
The Service may integrate with or link to third-party services (including Apple and Stripe). We do not control third-party services and are not responsible for their availability, security, or practices. Your use of third-party services is at your own risk and subject to their terms and policies.
If you submit suggestions, ideas, or feedback ("Feedback"), you agree that we may use it without restriction or compensation to you, and you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit such Feedback for any purpose.
You may stop using the Service at any time. We may suspend or terminate your access to the Service (including Premium) at any time if we reasonably believe you violated these Terms, pose a risk to the Service or others, or if required for legal or security reasons.
Upon termination, your license to use the Service ends. Sections that by their nature should survive will survive termination, including Sections 5-8, 9.5, 11-18.
We respect intellectual property rights. If you believe content on the Service infringes your copyright or other IP rights, please contact us at support@mysovi.ai with sufficient information to identify the allegedly infringing material and your rights claim. We may remove content and/or terminate repeat infringers as appropriate.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE (INCLUDING ALL CONTENT AND AI OUTPUTS) IS PROVIDED "AS IS" AND "AS AVAILABLE". SOVI.AI DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY OUTPUTS WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. In such cases, liability will be limited to the maximum extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless Sovi.AI and its affiliates, and each of their officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another.
This Section applies to you if you are a U.S. user, and to non-U.S. users to the extent permitted by applicable law.
Before filing a claim, you agree to contact us at support@mysovi.ai and provide a brief description of the dispute and your requested resolution. We will try to resolve disputes informally.
If we cannot resolve the dispute informally, you and Sovi.AI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis, except that either party may bring a claim in small claims court if it qualifies.
The arbitration will be administered by a recognized arbitration provider under its applicable rules. The arbitration may be conducted by videoconference, based on written submissions, or in a mutually agreed location.
YOU AND SOVI.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@mysovi.ai with the subject line "Arbitration Opt-Out" and providing your name and account email (if any). Opting out will not affect any other provisions of these Terms.
Except as provided in Section 17, these Terms and any dispute arising out of or relating to these Terms or the Service will be governed by the laws of the State of California, excluding its conflict of laws principles, and federal law where applicable.
If a dispute is found not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, and you waive any objection to venue in those courts.
You agree to comply with all applicable export control and sanctions laws. You may not use, export, re-export, or transfer the Service except as authorized by such laws and regulations.
We may modify the Service or these Terms from time to time. When we update these Terms, we will revise the "Last Updated" date above and may provide additional notice as required by law. By continuing to use the Service after updated Terms become effective, you agree to the updated Terms. If you do not agree, you must stop using the Service.
If you access the Service through an iOS app, you acknowledge that:
Severability. If any provision of these Terms is held unlawful, void, or unenforceable, the remaining provisions will remain in effect.
No Waiver. Failure to enforce any provision is not a waiver.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
Entire Agreement. These Terms and the documents expressly incorporated by reference (including the Privacy Policy) constitute the entire agreement between you and Sovi.AI regarding the Service.
